Do you own property in Costa Rica through a local company, or are you currently considering entering the real estate market there?

Costa Rica is taking another major step in modernizing and digitizing its public administration. Much like the system of official data mailboxes operating in parts of Europe, Costa Rica is now introducing mandatory electronic communication between legal entities and state institutions.

Law No. 10597 brings a fundamental change to the way public authorities and courts serve official documents on companies, including the corporate entities foreign investors use to purchase and hold real estate. Starting in June 2025, an officially registered email address with full legal validity will become the primary service channel. For international property owners in Costa Rica, this represents not only significant administrative simplification and lower costs, but also the necessity of establishing reliable oversight of official correspondence.

WHO THIS ARTICLE IS FOR

The information on this page is crucial especially for investors who:

  • already own real estate in Costa Rica through a local commercial company (such as a special purpose vehicle, or SPV)
  • plan to purchase land, an oceanfront villa, or a commercial investment project in Costa Rica
  • want direct control over the legal and tax matters of their Costa Rican company without unnecessary intermediaries
  • need to know the exact legal deadlines that apply to them and how to prevent entries in the commercial register from being blocked.

WHAT LAW NO. 10597 SPECIFICALLY REGULATES

Law No. 10597, enacted on December 3, 2024, amends several key Costa Rican legal statutes. Its core provision is the introduction of an email address as the official and binding communication channel for legal entities.

Every company, including the SPV structures commonly established to hold real estate, is newly required to register its official email address in the Costa Rican National Registry (Registro Nacional). State authorities will use this email address to deliver all legal notices, tax assessments, administrative notifications, and court decisions.

THE END OF THE MANDATORY RESIDENT AGENT AND COST SAVINGS

Until now, practice in Costa Rica relied heavily on physical correspondence and in-person service. If a company's statutory representative was not a resident of Costa Rica, which is typically the case for foreign investors, the law required appointing a resident agent. This had to be a local attorney or notary with an official address in Costa Rica where the state served physical documents.

Law No. 10597 fundamentally changes this practice:

  • companies will no longer need to have a resident agent if their statutory representative is not a resident of Costa Rica, provided the company has duly and timely registered an official email address in accordance with the law
  • recurring operating expenses for legal representation are directly reduced
  • the overall management of companies controlled from abroad is significantly simplified.

BINDING TIMELINE AND TRANSITIONAL PERIOD

The legislator has set clear milestones that every company owner must follow:

Phase What changes
December 3, 2024 Promulgation of the law in La Gaceta No. 195. This is Costa Rica's official government gazette, where all legal regulations are published. Upon publication, the law became officially valid and binding.
June 4, 2025 The requirement to register an official email address takes effect for all newly formed companies.
June 4, 2025 to June 4, 2026 A one-year transitional period for existing companies, which must retroactively register their email address in the registry.
From June 5, 2026 Companies without a registered email address will be blocked from any entries in the registry. It will not be possible to execute property transfers, record mortgages or liens, or register changes of directors or shareholders.

The new regulation places high demands on monitoring the electronic inbox. A notification sent by an authority to the registered email address is deemed served at the moment it is sent, regardless of whether the recipient actually opened or read the message.

Article 20 of the Judicial Notifications Act (Ley de Notificaciones Judiciales) provides:

“Se considerará notificada la parte a la que se le haya enviado la comunicación al correo electrónico inscrito en el Registro correspondiente, en la fecha y hora en que esta haya sido remitida, independientemente de si fue abierta o leída.”

Translation:

A party to whom a communication has been sent to the email address registered in the relevant Registry shall be deemed notified on the date and at the time it was dispatched, regardless of whether it was opened or read.

Legal entities therefore assume full procedural responsibility for the technical functionality and ongoing monitoring of their registered inbox.

AN OPPORTUNITY FOR INVESTORS

“Digitalization in Costa Rica represents a major step forward for foreign property owners. You gain full control over your company and your property in real time, without having to rely on intermediaries or deal with delays in physical mail.”

This step brings the transparency of the Costa Rican business environment into line with advanced economies. Foreign investors gain confidence that they see all official rulings immediately, can act with flexibility, and maintain direct oversight of their assets without the administrative burden of mandatory local agents.
